1. Introduction

These Terms of Service (“Terms”) govern the provision of web design, hosting, and digital marketing services by TruSite Ltd (“we”, “us”, “our”) to you (“the Client”).

By engaging our services, you agree to these Terms in full.

2. Services Provided

We provide services including, but not limited to:

• Website design and development
• Website hosting and maintenance
• Search engine optimisation (SEO)
• Paid advertising management

The exact scope of work will be agreed in writing before work begins.

3. Payment Terms

• All services are provided on a fixed-fee basis, unless otherwise agreed
• Payment terms will be outlined in your proposal or invoice
• Work may not begin until payment (or agreed deposit) is received
• Ongoing services (e.g. hosting, SEO) are billed monthly in advance

Failure to make payment may result in suspension of services.

4. Client Responsibilities

To ensure successful delivery, you agree to:

• Provide accurate and complete information
• Respond to requests for feedback or approvals in a timely manner
• Supply required content, images, or access credentials where necessary
• Ensure you have the right to use any materials provided to us

Delays in providing required information may impact timelines.

5. Website Content and Ownership

• You retain ownership of all content you provide
• Upon full payment, you will own the completed website design (excluding third-party tools or licensed assets)
• We reserve the right to showcase completed work in our portfolio

6. Hosting and Maintenance

Where hosting is provided by us:

• We are responsible for maintaining website uptime and security to a reasonable standard
• Hosting is billed as an ongoing monthly service
• Cancellation of hosting may result in the website being taken offline

7. Performance and Results

We build websites designed to improve performance and generate enquiries.

However:

• We do not guarantee specific rankings, traffic levels, or revenue outcomes
• Results may vary depending on factors such as competition, market conditions, and external marketing activity

8. Lead Growth Guarantee

Where eligible, we offer a performance-based guarantee.

Eligibility Requirements

To qualify:

• You must have an existing website with reliable analytics tracking in place prior to the project
• Analytics data must cover a minimum of the previous 12 months
• Lead tracking must be clearly defined and consistently measured
• No significant changes to your business, pricing, or marketing activity may be made without prior agreement

Measurement of Results

Performance will be measured by comparing:

• The average monthly leads over the previous 12 months (TTM) against
• The average monthly leads during the 3 months following launch

If the Guarantee Is Not Met

If a 20% increase in leads is not achieved:

• We will continue to work on your website at no additional cost
• This will involve ongoing improvements aimed at increasing performance
• Work will continue until the agreed increase is achieved

Exclusions

This guarantee does not apply where results are affected by:

• Changes to advertising spend or external marketing
• Changes in business operations or service offering
• Inaccurate or incomplete analytics data
• External market conditions outside our control

9. Revisions and Changes

• Reasonable revisions are included within the agreed scope
• Additional work outside the original scope may incur additional charges

10. Cancellations and Refunds

• Payments for completed work are non-refundable
• Ongoing services may be cancelled with [30 days’ notice] unless otherwise agreed
• We reserve the right to terminate services if these Terms are breached

11. Liability

To the fullest extent permitted by law:

• We are not liable for indirect or consequential losses
• Our total liability is limited to the amount paid for the service

12. Confidentiality

We will treat all client information as confidential and will not disclose it to third parties without consent, unless required by law.

13. Changes to Terms

We may update these Terms from time to time. The latest version will always be available on our website.

14. Governing Law

These Terms are governed by the laws of England and Wales.
